CODE OF CONDUCT

1. Purpose

New Media Holding Pte. Ltd. ("NMH") is committed to conducting business ethically, responsibly and in compliance with all applicable laws.

This Code of Conduct ("Code") sets out the standards of behaviour expected from everyone who works for, with, or on behalf of NMH.

Our reputation is built on integrity, professionalism and accountability. Every person associated with NMH is expected to uphold these principles in every business interaction.

2. Scope

This Code applies to: Directors, Officers, Employees, Consultants, Contractors, Freelancers, Suppliers and Vendors, Agencies, Influencers and Talent, Production Partners, Service Providers, Representatives, Any other individual or organisation acting on behalf of NMH. Where this Code is incorporated into a contract, purchase order or engagement letter, compliance with this Code is a contractual obligation.

Everyone acting on behalf of NMH must comply with all applicable laws, regulations and contractual obligations in the jurisdictions in which they operate.

No person may engage in dishonest, fraudulent, deceptive or unethical conduct while acting for or on behalf of NMH.

NMH has zero tolerance for bribery and corruption.

Everyone covered by this Code must comply with the NMH Anti-Bribery & Anti-Corruption Policy and all applicable anti-corruption laws.

No person may offer, promise, give, request or accept any improper payment, gift or benefit intended to influence a business decision.

7. Gifts & Hospitality

Business gifts and hospitality must:

Cash gifts or cash equivalents must never be offered or accepted.

8. Conflicts of Interest

Personal interests should never influence business decisions.

Actual, potential or perceived conflicts of interest should be disclosed promptly to NMH.

9. Fair Competition

NMH believes in fair and open competition.

No person acting on behalf of NMH may engage in anti-competitive conduct, collusion, bid-rigging, price fixing or any other unlawful market practices.

10. Confidential Information

Confidential information obtained through work with NMH must be protected and used only for legitimate business purposes.

Confidential information must not be disclosed without proper authorisation.

This obligation continues after the business relationship ends.

11. Data Privacy

Personal information must be collected, used, stored and disclosed responsibly and in accordance with applicable privacy and data protection laws.

Everyone handling personal information on behalf of NMH must take reasonable steps to protect it from unauthorised access, misuse or disclosure.

12. Intellectual Property

NMH's intellectual property, confidential information and proprietary materials must be respected and protected.

Likewise, the intellectual property rights of clients, suppliers and other third parties must also be respected.

13. Human Rights and Respectful Workplace

NMH is committed to conducting business in a manner that respects internationally recognised human rights.

NMH does not tolerate:

Everyone working for or on behalf of NMH is expected to act responsibly and help maintain a safe and healthy working environment.

Applicable workplace health and safety laws and client safety requirements must be followed at all times.

NMH's property, technology, systems, confidential information and other resources must be used responsibly and only for legitimate business purposes.

Unauthorised use or misuse of NMH assets is prohibited.

16. Suppliers, Talent and Business Partners

NMH expects all suppliers, agencies, influencers, talent, consultants, contractors and other business partners to conduct business ethically and responsibly.

They are expected to:

Anyone who becomes aware of suspected misconduct, unethical behaviour or violations of this Code should promptly report the matter through NMH's designated reporting channels.
